Job Description

CM Law is looking for an experienced Legal Assistant to provide dedicated legal support to its lawyers, with a particular focus on corporate and commercial matters. The role is primarily legal in nature, involving the preparation and coordination of legal documentation, corporate formalities and the follow-up of client matters.

Administrative tasks are limited to those directly connected with legal work.

Your main responsibilities

  • Assist lawyers with the preparation, drafting, review, proofreading and finalisation of legal documents, contracts, agreements and legal correspondence.
  • Prepare and coordinate corporate documentation, including board and shareholder resolutions, minutes, powers of attorney and corporate registers.
  • Support the incorporation, restructuring, ongoing corporate maintenance and liquidation of Luxembourg entities.
  • Prepare and follow up on filings and formalities with the Luxembourg Trade and Companies Register (RCS), the Register of Beneficial Owners (RBE) and other relevant authorities.
  • Coordinate execution of legal documents, including signatures, notarisation, certification and legalisation, and liaise with notaries and relevant authorities.
  • Assist with legal due diligence, document reviews and the organisation of transaction documentation and closing deliverables.
  • Monitor legal and corporate deadlines and follow up on outstanding documents and formalities.
  • Maintain accurate and complete legal matter files and corporate records, ensuring confidentiality and consistency of documentation.
  • Support lawyers with client onboarding and KYC documentation insofar as required for legal matters.

We are looking for someone who

  • Has at least 5 years of experience as a Legal Assistant or in a comparable legal support position, ideally within a Luxembourg law firm.
  • Has relevant legal training or qualifications, and a sound understanding of Luxembourg corporate and commercial law procedures.
  • Has practical experience preparing corporate documents and handling RCS and RBE filings and other Luxembourg corporate formalities.
  • Has an excellent command of written and spoken French and English. German, Italian and/or Luxembourgish would be an advantage.
  • Is proficient in Microsoft Office, particularly Word, Excel and Outlook, and comfortable with legal document management tools.
  • Demonstrates excellent drafting and proofreading skills, attention to detail and the ability to manage multiple legal matters and deadlines.
  • Is reliable, proactive, discreet and able to work independently while collaborating closely with lawyers and clients.

We offer

  • A working environment on a human scale, where positive communication, feedback and initiative are encouraged.
  • Interesting and varied legal support responsibilities in an international environment.
  • An opportunity to develop your professional expertise and contribute to the continued growth of the firm.
